10. Dispute Resolution; Binding Arbitration

Please read this Section carefully. It requires you to arbitrate most disputes with Cross-Fire & Security Co., Inc. and limits the way you can seek relief.

a. Informal resolution first.

b. Agreement to arbitrate.

You and Cross-Fire & Security Co., Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of this website — including the validity, scope, or enforceability of this arbitration provision — shall be resolved by final and binding arbitration, rather than in court, except as set out below. This provision is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).

c. Delegation.

The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration provision, including any claim that all or any part of it is void or voidable.

d. Arbitration body and rules.

The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, as modified by these Terms. The arbitration shall take place in New York County, New York, or, at your election, by telephone or video, or based solely on written submissions where permitted by the applicable rules.

e. Exceptions.

Either party may:

(i) bring an individual claim in small-claims court if it qualifies; and

(ii) seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to the website.

f. Right to opt out.

You may opt out of this arbitration provision by sending written notice to Cross-Fire & Security Co., Inc. at the address in Section 15 within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

 


11. Class Action Waiver

YOU AND CROSS-FIRE & SECURITY CO., INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. 

The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request shall be severed and may proceed in court, while all other claims shall remain in arbitration.

 


12. Jury Trial Waiver

To the fullest extent permitted by law, and except where a dispute proceeds in court under Section 10(e), you and Cross-Fire & Security Co., Inc. each waive any right to a trial by jury in any action arising out of or relating to these Terms or this website.

 


13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The class action waiver in Section 11 is subject to the specific severability rule stated within that Section.

 


14. Changes to These Terms

Cross-Fire & Security Co., Inc. may update or modify these Terms from time to time. Updates will be posted on this page with a revised effective date. For material changes — including any change to the arbitration provision or class action waiver — we will take reasonable steps to provide notice.
